1. General Terms

  • IT Moon Ltd will provide service(s) as mutually agreed and detailed within your proposal.
  • The work will be carried out unsupervised at such times and places as determined by IT Moon Ltd using IT Moon Ltd’s own equipment.
  • IT Moon Ltd may require the client to have input and aid with various parts of the work such as providing photos, access etc.
  • IT Moon Ltd confirms that there will be no claim or responsibility by the Client for income tax and National Insurance contributions and will not claim benefits granted to the Client’s employees.
  • All work carried out will be proofread, however final proofreading of the work is the responsibility of the Client.
  • Any errors must be reported within seven (7) days of receipt of completed work. Errors generated by IT Moon Ltd will be rectified in the Company’s own time and at the Company’s expense but amendments or alterations requested by the Client thereafter will be charged at the standard hourly rate.
  • IT Moon Ltd does not accept liability or responsibility for the end use of any documents or materials produced or edited by us on behalf of the Client.
  • IT Moon Ltd reserves the right to reject any work which we believe to be unlawful or immoral.
  • In the event that scheduled work is unexpectedly not possible on the proposed date (for example due to illness), IT Moon Ltd will contact the Client immediately.

ERRORS
We can’t guarantee that our work will be error-free (we’re human!) so we can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised us of them

2. Confidentiality & Rights

  • IT Moon Ltd shall keep any work undertaken confidential and not used for personal gain. If required the Client’s confidentiality agreement can be signed.
  • The business affairs of the Client shall not be discussed or disclosed to any third parties.
  • The Client will be the legal owner and will hold intellectual copyright of all work undertaken by IT Moon Ltd.
  • All images supplied by the client remain their responsibility, with regards to obtaining rights used. All images supplied by IT Moon Ltd will be sourced with permission.
  • Under the terms of the Data Protection Act 1998 and GDPR, the Client and IT Moon Ltd may keep on record such information (E.g. contact details) as is necessary. Either may view the other’s records to ensure that they are relevant, correct and up to date.
  • Either the client or IT Moon Ltd have the right to terminate a contract for services if there is a serious breach of its Terms.
  • This agreement is subject to the laws of England and Wales and both IT Moon Ltd and the Client agree to submit to the jurisdiction of the English and Welsh Courts.
  • All passwords are stored using encryption within our Password Manager.

3. Terms of Payment

Billing Schedule
We’re sure you understand how important it is as a business that you pay the invoices that we send you promptly. We’re also sure you’ll want to maintain a positive working relationship and keep your services moving forward, so you agree to stick tight to the payment schedule you agreed upon when signing up for your service.

Client Agreement to Pay

You agree to pay our initial (1st) invoice upon receipt  Every invoice after that will have 7 day payment terms. In the event payment is not made on time, IT Moon Ltd reserve the right to charge interest, as per government guidelines. In addition, IT Moon Ltd reserves the right to stop work until payment is received.

Collection Costs

In the event that we incur legal fees, costs and disbursements in an effort to collect our invoices, in addition to interest on the unpaid balance, you agree to reimburse us for these expenses.

4. Cancellation of Plans

You have the right to modify, reject, cancel or stop any and all plans or work in process. However, you agree to reimburse us for all costs and expenses we incurred prior to your change in instructions, and which relate to non-cancellable commitments, and to defend, indemnify and hold us harmless for any liability relating to such action. We agree to use our best efforts to minimize such costs and expenses.

5. Agreed Work & Changes

  • Written confirmation accepting the terms and conditions is required before any work can commence.
  • You will have been provided a quotation via one of our checkout pages or custom proposals that have been sent to you.
  • The work will be started on or before the date agreed, for the agreed fee, which will be based on the description of the work required and the brief, both supplied by the Client and detailed within your quotation.
  • If, however, on receipt of the item to be worked on or at an early stage, it becomes apparent that significantly more work is required than had been anticipated in the preliminary discussion/brief, IT Moon Ltd may renegotiate the fee and/or the deadline.

6. Communication
Communication is via the following methods:

– Email to admin@itmoon.co.uk

– Optional: Whatsapp shared group between members of IT Moon working with you and yourself (you may add anyone in your own team if you wish)

Our hours of work are Monday to Thursday until 4.30pm and Fridays are worked occasionally but no guarantee of times. Any communication outside of these hours may be dealt with the next working day – unless agreed in advance. Clients outside the UK, we always will do our best to accommodate calls for your timezone.

7. Term and Termination

Period of Agreement & Notice of Termination
This Agreement shall become effective as of the date of signing or on receipt of your payment via one of our checkout systems and shall continue until terminated by either party.

Termination for Cause

Either party to this Agreement may terminate the Agreement if the other party defaults in the performance of any of its material duties and obligations and the default is not cured within thirty (30) days of the receipt of notice of said default, or if the default is not reasonably curable within said period of time, unless the defaulting party commences cure within said period of time and diligently proceeds to cure the default.

In addition, either party may immediately terminate this Agreement by giving written notice to the other party if the other party is insolvent or has a petition brought by or against it under the insolvency laws of any jurisdiction, if the other party makes an assignment for the benefit of creditors, if a trustee, or similar agent is appointed with respect to any property or business of the other party, or in the case of the Client, if the Client materially breaches its obligations to make payment pursuant to this Agreement.
